Terms and Conditions for the Pro Plan
1. Introduction
1.1 These terms and conditions (“Terms”) form a legally binding agreement between you (“User” or “Customer”) and TenderFinders.com (“we,” “us,” “our,” or “Supplier”). By registering for and/or using our Pro Plan service through our website, you agree to be bound by these Terms.
1.2 These Terms are in addition to any other terms and conditions you may have with TenderFinders.com. In the event of a conflict, these Terms will prevail with respect to the Pro Plan.
2. The Service
2.1 Our Pro Plan service (“Service”) provides:
- Access to and review of available tenders; and
- Use of AI tools to assist in creating or submitting tender-related materials or documentation.
2.2 We do not guarantee that any tender or AI-generated output will result in a successful bid. We make no representations or warranties regarding the accuracy, completeness, or reliability of any tender information or AI outputs.
3. Subscription and Fees
3.1 To access the Pro Plan, you must pay a monthly subscription fee of £19.99 plus VAT (“Subscription Fee”). The Subscription Fee will be collected on the day of your initial registration (“Billing Date”) and will renew automatically on the same date each month until you cancel in accordance with clause 7.
3.2 All prices are quoted exclusive of VAT and other applicable taxes. Where applicable, you are responsible for paying such taxes.
4. User Registration
4.1 To use the Service, you must create an account by providing accurate and complete information, including your full name and a valid email address.
4.2 You are responsible for maintaining the confidentiality of your account credentials. You are also responsible for all activities that occur under your account.
5. Payment Terms
5.1 By creating an account and providing your payment details, you authorise us (or our third-party payment processor) to charge your chosen payment method for the Subscription Fee, plus any applicable taxes, on each Billing Date.
5.2 If payment cannot be processed (for example, due to insufficient funds or an expired payment method), we will attempt to notify you. If you do not rectify the issue promptly, we reserve the right to suspend or terminate your account.
6. Renewal
6.1 Your subscription will automatically renew each month on the Billing Date until you cancel in accordance with clause 7.
6.2 The renewal Subscription Fee will be charged at the then-current rate, plus any applicable taxes, unless you cancel before your next Billing Date.
7. Cancellation
7.1 You may cancel your subscription at any time from the link in 'your area' or by contacting us.
7.2 If you cancel before the end of your current paid month, you will continue to have access to the Service until the end of that billing period. After that date, your subscription will terminate and you will not be charged for any subsequent months.
8. AI Usage and Misconduct
8.1 You agree to use the AI tools solely for lawful tender submissions and related business purposes.
8.2 Any misuse of the AI tools—including but not limited to attempts to generate fraudulent or unlawful content—may result in immediate termination of your account without refund.
8.3 You acknowledge that AI-generated outputs may contain errors or inaccuracies. You remain solely responsible for verifying any information before relying on it.
9. Termination
9.1 We reserve the right to terminate or suspend your account immediately if you:
- Breach any of these Terms;
- Misuse the AI tools in violation of clause 8.2; or
- Fail to update your payment method after a payment fails.
9.2 Upon termination, you will not be entitled to any refund for the remaining days in your billing cycle, except as allowed under clause 7.
10. Liability
10.1 We provide the Service on an “as is” and “as available” basis. We make no warranties (express or implied) that the Service will meet your requirements, be uninterrupted, or error-free.
10.2 We do not warrant the accuracy, reliability, or completeness of any tender data or AI outputs provided through the Service.
10.3 Subject to clause 10.4, our maximum aggregate liability to you, whether in contract, tort (including negligence), or otherwise, shall not exceed the total Subscription Fees paid by you in the three (3) months preceding the event giving rise to the claim.
10.4 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
11. Intellectual Property Rights
11.1 All intellectual property rights in the website, AI tools, and any associated content (excluding User-generated content) belong to us or our licensors. No rights are granted to you other than those expressly set out in these Terms.
11.2 By uploading or providing any content or data, you grant us a non-exclusive, royalty-free licence to use, store, and process such content solely for the purpose of providing the Service.
12. Confidentiality & Data Protection
12.1 Each party agrees to treat any confidential information received from the other party as strictly confidential and not to disclose it to any third party without prior written consent.
12.2 We will handle any personal data in accordance with applicable data protection laws and our Privacy Policy, available at https://www.tenderfinders.com/privacy-policy .
13. Modifications
13.1 We reserve the right to modify these Terms from time to time. Any changes will become effective on the date stated in our notice. By continuing to use the Service after the effective date, you agree to be bound by the revised Terms.
14. Governing Law & Disputes
14.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.
14.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
15. Miscellaneous
15.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.2 Any failure or delay by us in exercising any right or remedy under these Terms shall not constitute a waiver of that or any other right or remedy.
15.3 You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
15.4 These Terms constitute the entire agreement between you and TenderFinders.com regarding the Pro Plan and supersede all prior agreements or understandings, whether oral or written.
15.5 No person who is not a party to these Terms (except our affiliates) shall have any right to enforce any of them under the Contracts (Rights of Third Parties) Act 1999.
